1. Scope & Role Architecture

1.1 Accounts

These Terms govern the consumer use of Rory in the United Kingdom and European Union. Rory operates two separate account roles:

• Fan Accounts: Allow consumers to purchase virtual Rory Coins, support creators with tips, join recurring tiers, and exchange messages with creators.
• Creator Accounts: Allow eligible creators to establish custom pages, publish pay links, receive tips, and receive USD payouts.

An account holds strictly one role at any time. Fans cannot receive creator payouts.

1.2 Age Eligibility (GDPR-K)

You must be at least sixteen (16) years of age (or the digital age of consent in your EEA member state or the UK) to use the Services. Creator accounts and disbursement eligibility are strictly limited to individuals who are at least eighteen (18) years of age.

2. Rory Coins are Virtual Digital Content

2.1 License Grant

Rory Coins are digital content provided under a limited, personal, revocable, non-transferable, non-sublicensable license solely for use within the Rory platform.

2.2 Strict Prohibition on Cash-Outs

RORY COINS HAVE NO MONETARY OR CASH VALUE. FANS CANNOT WITHDRAW, REDEEM, EXCHANGE, OR CASH OUT RORY COINS FOR MONEY, CURRENCY, OR STORED VALUE. Rory Coins do not constitute electronic money, a deposit account, or legal tender. Coins cannot be transferred or sold between accounts.

2.3 Statutory Right of Cancellation & Immediate Performance

Under the Consumer Contracts Regulations 2013 and EU Consumer Rights Directive (Directive 2011/83/EU), consumers normally possess a 14-day cooling-off period for online purchases. By purchasing Rory Coins, you expressly consent to the immediate supply of digital content and acknowledge that you lose your 14-day statutory right of withdrawal once coin delivery begins and coins are credited to your account.

3. Append-Only Ledger Mechanics

All coin allocations, transactions, platform fees, and creator earnings are recorded in an append-only cryptographic ledger.

• Account Balances: Calculated strictly as the sum of recorded transaction entries (SUM(delta)).
• No Historical Deletions: Ledger rows are immutable and are never updated or deleted. Corrections are handled exclusively through offsetting entries.
• Idempotency: POST requests require idempotency keys to protect against duplicate billing.

4. Creator Support & Irrevocable Spends

When you spend Rory Coins to support a creator, purchase a tier, or send a gift:

• The transaction is executed and completed immediately.
• Spent coins cannot be refunded, reversed, or returned.
• Applicable platform fees and processing costs are deducted in accordance with the published fee schedule, and the creator's ledger is credited in USD cents.

5. Creator Payouts

• Cleared USD balances may be disbursed to creators via supported rails (Bank ACH, PayPal, Venmo).
• Payouts require an available cleared balance meeting the minimum threshold ($25.00 USD). This threshold applies solely to creator disbursements and does not restrict or determine lower support amounts that fans may contribute to creators.
• Payouts are earned business income disbursements to independent contractors and never constitute a fan coin cash-out. Creators remain exclusively responsible for all personal tax and social contribution liabilities.
• Payouts are subject to identity verification (KYC/AML) and statutory anti-fraud screening.
• Chargebacked, disputed, or fraudulent transactions may be debited from creator balances or offset against future disbursements.

6. Limitation of Liability & Consumer Rights

Nothing in these Terms excludes or limits liability for death, personal injury caused by negligence, fraud, or fraudulent misrepresentation, or any statutory consumer rights that cannot be excluded under applicable consumer law in your jurisdiction.

Subject to the foregoing, Rory shall not be liable for business losses, indirect or consequential losses, or losses resulting from events beyond our reasonable control.

7. Governing Law & Dispute Resolution

If you are a consumer resident in the UK or EU, mandatory statutory protections of your country of residence apply. You may bring proceedings in the courts of the country where you reside, or submit disputes to online dispute resolution platforms where applicable. In all other respects, these Terms are governed by the laws of England and Wales.
